1. Service Agreement
These Terms of Service govern the provision of professional services by Aavyalabs to its clients. By engaging our services, you agree to be bound by these terms, which form a legally binding agreement between you ("Client") and Aavyalabs ("Company," "we," "our").
2. Scope of Services
The specific scope, deliverables, timelines, and fees for each engagement will be detailed in a separate Statement of Work (SOW) or Service Agreement executed by both parties. In the event of any conflict between these Terms of Service and a SOW, the SOW shall prevail.
3. Client Responsibilities
The Client agrees to:
- Provide timely access to necessary data, systems, and personnel
- Designate a single point of contact for project coordination
- Review and provide feedback on deliverables within agreed timeframes
- Make timely payments as outlined in the SOW
4. Fees and Payment
Fees for services will be as set forth in the applicable SOW. Invoices are due within 30 days of the invoice date unless otherwise specified. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law. All fees are exclusive of taxes, which shall be borne by the Client.
5. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information disclosed during the engagement. This obligation survives the termination of the agreement for a period of three years. Confidential information shall not be disclosed to third parties without prior written consent.
6. Warranties and Disclaimer
Aavyalabs warrants that services will be performed in a professional and workmanlike manner in accordance with industry standards. Services are provided "as is" and we make no other warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.
7. Limitation of Liability
Neither party shall be liable for any indirect, consequential, or incidental damages arising from the services provided. The Company's total liability for any claim shall not exceed the fees paid by the Client for the specific service giving rise to the claim.
8. Termination
Either party may terminate the agreement with 30 days written notice. In the event of termination, the Client shall pay for all services rendered and expenses incurred up to the effective date of termination. Aavyalabs shall deliver all work product completed as of the termination date upon receipt of final payment.
9. Dispute Resolution
Any disputes arising from these Terms of Service shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be settled by arbitration in California, USA in accordance with the laws of the State of California.
